Jack T. Smith, Chairman of the Board
Mr. Smith is responsible for developing and implementing the overall strategic direction of Digital Witness with the objective of creating significant owner value. Mr. Smith will also be responsible for the creation and operation of the Board of Directors, which will oversee the operations and strategic direction of Digital Witness.
Mr. Smith has been affiliated with Mr. Carl Westcott and his family for over twenty years, including heading several companies, serving on the board of directors of both public and private companies and as an advisor to many investment activities. Mr. Smith has extensive experience in the development, operation, acquisition and disposition of businesses operating under the subscription model, the current strategic operating model of Digital Witness. He was the President of Westcott Communications, Inc. from 1989 until its sale in 1996. He was on the board of directors of Internet America from 1995 until 2003. He led an investor group's buyout of the Founders of Internet America in 1998 and was instrumental in taking that company public in 1998. He served as Internet America's CEO from 2000 until 2003.
Mr. Smith graduated with an MBA from the University of North Texas in 1976 and has taught several courses for that university for many years.

Kelby D. Hagar, President
Mr. Hagar is a Harvard educated attorney and CPA, with extensive experience in leading software development and technology companies. In 2001, Mr. Hagar formed Digital Witness, LP, a company dedicated to the development of software applications that enables multi-location businesses and restaurants to utilize surveillance technology to improve their management and marketing efficiencies.
In 1998, Mr. Hagar founded GroceryWorks.com, Inc. and served as the company's President. During his tenure, Grocery Works developed its initial e-commerce website, routing technologies and warehouse management systems, initiated operations in Dallas, Ft. Worth and Houston, Texas, and generated annualized revenues of $25M. After leading GroceryWorks through a merger with Safeway, Inc. in 2001, Mr. Hagar founded Digital Witness.
Additionally, Mr. Hagar has held positions with Gibson, Dunn & Crutcher, LLP, a national law firm, and with Hunt Investment Group, a Dallas-based private equity firm.
Mr. Hagar is a 1992 graduate of Angelo State University magna cum laude with a Bachelor of Business Administration degree and 1995 graduate from Harvard Law School cum laude with a doctor of jurisprudence degree.

Brent A. Dunn, Chief Technology Officer
Mr. Dunn is one of the three original founders of Digital Witness.
Prior to Digital Witness, Mr. Dunn was the Director of the Minority Technology Fund of the Todd Wagner Foundation. Brent also worked with the Wagner Foundation after school program MIRACLES bringing technology training to the inner cities across the country.
Mr. Dunn worked with Mr. Hagar from 1999 - 2001 as the Vice President of Information Technology of GroceryWorks.com, an on-line grocer in the Dallas/Fort Worth Metroplex.
Prior to GroceryWorks.com, Mr. Dunn served as Manager for Distributed Networks at Cessna Aircraft from 1992-1999.
Mr. Dunn is a 1992 graduate of Angelo State University with a Bachelor of Science in Computer Science degree and a minor in Marketing and Management.

David E. Allard, Chief Financial Officer
Mr. Allard has over 25 years experience in the financial and operating activities of companies in both the public and private sectors.
Prior to joining Digital Witness, Mr. Allard was Executive Vice President of Internet America, Inc., a Dallas based ISP from 2003 to 2005. From 1992 to 2002, Mr. Allard held various executive level positions with Primedia Workplace Learning, E-Train, CareerTrack and Westcott Communications, all companies providing corporate training. Prior to Mr. Allard's industry experience, he was a practicing CPA for 13 years. Mr. Allard also currently serves on the Board of Directors of Income Opportunity Realty Investors, Inc., a Dallas based real estate investment trust.
Mr. Allard is a 1980 graduate of Southern Methodist University with a Bachelor of Business Administration; CPA degree.

Mike I. Smartt, Vice President of Sales
Mr. Smartt joined Digital Witness in July 2004 and has extensive management experience including operations, sales and finance. From 1998 through 2004 Mr. Smartt served as Chief Financial Officer for Sendo America, OmniSpace Technologies and Wyndham Jade.
Mr. Smartt was helped found both Jayhawk Acceptance Corporation and Westcott Communications and served through their both companies initial public offerings. Mr. Smartt; was Chief Executive Officer of Jayhawk Acceptance from 1993 to 1997. In 1986 he helped found Westcott Communications serving as its Vice President of Sales and Marketing. Mr. Smartt also served as President of Westcott Communications from 1987-1989.
Prior to joining Westcott Communications, Mr. Smartt served as Vice President of Sales and Marketing and a Director for First Extended Service Corporation. Mr. Smartt is a 1982 graduate of Mississippi State University with a Bachelor of Professional Accountancy.

Court Westcott,
Vice President of Business Development
Prior to joining Digital Witness Mr. Westcott was a business analyst at Westcott LLC. He joined Digital Witness in 2004 and currently leads business development efforts for the company.
Mr. Westcott is a 2004 graduate of Southern Methodist University with a Masters in Business Administration and a 2001 graduate of Vanderbilt University with Bachelors in Political Science and Philosophy. Mr. Westcott also received his Six Sigma Black Belt in 2005 from Villanova University and is a licensed realtor.
